1. Agreement to Terms

By accessing or using the services provided by AI Genesis LLC ("Company," "we," "us," or "our"), including our website, AI-powered software, and related services (collectively, the "Services"), you ("Client," "you," or "your") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services.

AI Genesis provides AI-powered software solutions, conversation automation, and related technical services primarily delivered through a Software-as-a-Service (SaaS) model. Our Services include custom AI companion development, conversation flow design, and ongoing optimization tailored to your business needs.

2.2 Service Delivery

Services are delivered through cloud-based platforms accessible via web browsers and APIs. We provide custom configurations specific to each client's requirements while maintaining the underlying platform infrastructure.

3. Use of Services

3.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to access and use the Services during your subscription period.

3.2 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

• Reverse engineer, decompile, or attempt to discover the source code of our proprietary systems
• Use the Services to transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems or other users' data
• Resell or redistribute the Services without written authorization

We retain all rights to our proprietary software, algorithms, infrastructure, and methodologies ("Company IP"). The Services are licensed, not sold, and no ownership of Company IP transfers to you.

Any suggestions, feedback, or improvements you provide may be used by us without obligation to you.

5. Data Privacy and Security

You maintain full ownership of all data processed through the Services, including end-user information and conversation logs.

5.2 Data Protection

We retain data only as long as necessary to provide the Services. Upon termination, we will delete or return your data upon written request, provided your account is in good standing.

6. Payment Terms

6.1 Fees

You agree to pay all fees specified in your service agreement or order form. Fees are based on the services selected and may include setup fees, monthly subscription fees, and usage-based charges.

6.2 Payment

All fees are due in advance and are non-refundable except as expressly provided in these Terms. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.

6.3 Taxes

Fees do not include taxes. You are responsible for all applicable taxes except those based on our net income.

7. Service Availability and Support

7.1 Availability

We strive to maintain 99% service availability, excluding scheduled maintenance. We are not liable for any unavailability caused by circumstances beyond our reasonable control.

7.2 Support

We provide technical support as outlined in your service agreement. Standard support is provided during business hours via email and ticketing system.

7.3 Updates

We may update the Services periodically to add features, fix bugs, or improve performance. Such updates may temporarily affect availability.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information received from the other party and to use such information solely for purposes related to these Terms.

9. Warranties and Disclaimers

9.1 Mutual Warranties

Each party warrants that it has the authority to enter into these Terms and will comply with all applicable laws.

9.2 Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

12. Term and Termination

12.1 Term

These Terms commence upon your first use of the Services and continue until terminated.

12.2 Termination

Either party may terminate these Terms upon 30 days' written notice. We may terminate immediately for breach of these Terms.

12.3 Effect of Termination

Upon termination, your access to the Services will cease. Provisions that by their nature should survive termination shall remain in effect.

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Any legal proceedings shall be brought exclusively in the courts located in Orange County, California.

14. General Provisions

These Terms, together with any service agreements, constitute the entire agreement between the parties.
